MGM Osaka Commitments Include $2.1 Billion Outstanding And Uncapped Completion Guarantee

MGM Osaka Commitments Include $2.1 Billion Outstanding And Uncapped Completion Guarantee

MGM Resorts International had $2.1 billion left to contribute to MGM Osaka at September’s end, with quarterly equity payments continuing through 2028 ahead of a planned 2030 opening.

Its third-quarter US Securities and Exchange Commission filing also disclosed an uncapped completion guarantee, extending potential funding exposure beyond the planned equity investment.

Completion Guarantee Extends MGM’s Exposure Beyond Its Equity Commitment

Total commitments stood at JPY428 billion ($2.7billion) with JPY333 billion ($2.1 billion) outstanding on 30 September.

MGM separately guarantees funding “of an uncapped amount to provide funding to MGM Osaka, if necessary, for the completion of the construction and full opening of the integrated resort.”

“The guarantees expire when the obligations relating to the full opening of the integrated resort are fulfilled,” the filing stated.

Another guarantee covers JPY12.65 billion ($80.4 million), representing half the venture’s Osaka development obligations. MGM’s $576 million ownership interest “is pledged as collateral for MGM Osaka’s obligations under its credit agreement.”

Quarterly Contributions Continue As Inflation Creates Additional Cost Risks

Contributions totalled $155 million during the first nine months of 2026, followed by JPY19.4 billion (123.2 million) in October. Chief financial officer Jonathan Halkyard expects JPY150 billion to JPY160 billion ($953 million to $1 billion) annually in 2027 and 2028.

“Project costs may increase due primarily to inflation, which increases may be offset by cost mitigation efforts and funded by additional financing.”

Ownership Changes As MGM Builds Towards A 43.5% Interest

MGM’s stake increased from 40% in September to approximately 41% in October, heading towards 43.5%.

“Our ownership percentage is expected to fluctuate over the equity funding period,” the filing said. Osaka remains an unconsolidated affiliate because MGM “does not have power on its own to direct the activities” affecting performance.

Domestic Visitors Underpin Forecasts As Operating Cash Flow Declines

Projected attendance is 19.9 million: 54% from Osaka, 14% elsewhere in Japan and 32% overseas. Primary competitors are Singapore and Macau; secondary competitors include Seoul, Manila and Sydney. Plans include 470 tables, 6,400 machines and 9,220 gaming positions.

Nine-month operating cash flow fell to $1.66 billion from $1.87 billion. Cash totalled $2.4 billion, including MGM China’s $598 million, against $1.8 billion in contractual rent payments over the following twelve months.

MGM’s financial exposure cannot be assessed through equity commitments alone because the completion guarantee is uncapped. Maintaining funding capacity while cash flow declines will require allocation. Domestic demand assumptions and construction costs are central to whether the investment delivers its intended returns.
